EMC launches the procedure for changing the depository bank managing the depositary receipts program

Nicosia, Cyprus, 22 March 2023. United Medical Group CY PLC (hereafter the “Company”, and together with its subsidiaries the “Group” or “EMC”; Moscow Exchange ticker GEMC), a leading multidisciplinary provider of premium healthcare services in Russia operating under the European Medical Center brand, announces the launch of the process of changing the depository bank managing the Global Depositary Receipts Program ("Depositary Receipts") of the Company.

At the moment, depository receipts representing ordinary shares of the Company are circulating on the organized market. International ISIN identification codes assigned to Depositary Receipts are:

  • US91085A1043, for issues under Rule 144A;
  • US91085A2033, for issues under Regulation S.

The Company decided to change the operator of global depositary receipts by terminating the agreement with Bank of New York Mellon ("BNY") dated July 16, 2021, according to which BNY provides depository services by managing the Company's global depositary receipts program. The new depository for the depositary receipts program will be RCS Issuer Services S.AR.L. ("RCS").

The procedure for changing the depository bank will not require any additional actions from the owners of the Company's Depositary Receipts and will take approximately up to 150 days. During this period, as well as after the replacement of the depository, Depositary Receipts will continue to be traded on the Moscow Stock Exchange. This decision will allow the Company to improve interaction with all shareholders, including those with receipts in the National Settlement Depository, within the framework of shareholders' meetings.
